Managed Service Agreement

Standard month-to-month terms for Millennium’s managed AI website tools. A signed Order Form defines each client’s exact scope.

Clear commitments, matched to the service

This document describes the current Millennium service. A client’s signed Order Form supplies its exact scope, contracting parties and any jurisdiction-specific terms.

1. Contract documents

This Managed Service Agreement is offered by Millennium Innovation FL LLC, a Florida limited liability company, and works together with a signed proposal or Order Form. The Order Form identifies the client, selected plan, approved capabilities, monthly price, any separately quoted project work, start date, billing method, notice contacts, and governing terms. If the documents conflict, the Order Form controls for that client.

2. Standard monthly plans

  • $50 Managed Essentials: one business and one web presence; managed hosting and maintenance for Millennium tools; business-aware assistant; inquiry and appointment-request capture; owner access; up to 30 active services or catalog items; up to 30 approved knowledge answers; 300 assistant interactions per month; and two standard assisted content changes per month.
  • $80 Managed Growth: everything in Managed Essentials; appointment workflow, catalog, offers, and commerce-compatible tools selected in the Order Form; bulk catalog import; up to 150 active services or catalog items; up to 75 approved knowledge answers; 1,000 assistant interactions per month; and four standard assisted content changes per month.
  • A standard assisted content change is a bounded update to existing text, business facts, hours, services, items, or an offer. Redesigns, custom development, data migrations, new integrations, photography, advertising management, and unusually large content work require separate written approval.

3. Usage and overages

An assistant interaction means one visitor conversation during a rolling 24-hour session, not every individual message. Owner self-service changes within the plan’s item and knowledge limits do not count as assisted content changes.

Millennium will not add surprise overage charges. If usage repeatedly exceeds a plan limit, Millennium may contact the client to reduce usage, apply a reasonable safeguard, or approve an upgrade or written add-on before additional charges begin. Provider fees, domain fees, payment-processing fees, advertising spend, messaging charges, and taxes are separate unless the Order Form expressly includes them.

4. Billing and renewal

Monthly service fees are billed in advance and renew month to month until canceled. Automatic billing begins only after the client affirmatively approves the amount, frequency, and selected payment method. Millennium may use Stripe or another approved processor; Millennium does not intentionally store full card details.

Any onboarding, custom work, or third-party activation charge must be shown and approved in the Order Form before it is owed. Millennium makes no public promise that setup is always free.

5. Cancellation, refunds, and nonpayment

A client may cancel at any time using the same contact channel used to approve service or another simple written method stated in the Order Form. Cancellation stops the next renewal and service continues through the current paid billing period unless the client requests earlier shutdown.

Monthly fees already earned or used are not prorated or refunded merely because a client cancels during a billing period. Millennium will correct duplicate, unauthorized, or incorrect charges and provide any refund required by law. If Millennium ends service without client breach before a prepaid period ends, Millennium will refund the unused portion of that prepaid period.

If payment fails, Millennium will provide notice and a reasonable opportunity to cure before suspending interactive tools. Public information may be preserved temporarily when practical. Continued nonpayment may result in termination and the data-recovery period described in the Data Retention & Deletion Policy.

6. Client responsibilities

  • Provide accurate, lawful, and approved business information and promptly correct outdated facts.
  • Own or have permission to use all supplied names, images, trademarks, products, claims, reviews, and customer data.
  • Comply with industry rules, licenses, age restrictions, taxes, shipping, refunds, accessibility obligations, and consumer-protection laws applicable to the client.
  • Review important automated answers and appointment, product, pricing, and policy information.
  • Protect owner access and promptly report suspected misuse.

7. Domains and external providers

The client remains responsible for its legal business identity, merchant account, banking, products, fulfillment, taxes, refunds, advertising accounts, and regulator-required disclosures. Millennium may configure approved providers but does not become the seller of the client’s goods or services unless a signed agreement expressly says otherwise.

Third-party provider charges and terms apply separately. A provider outage, verification delay, account suspension, DNS issue, or policy decision may affect a feature. Millennium will not describe an external action as successful until the provider confirms it.

8. Ownership and license

The client owns its supplied business content and customer relationships. Millennium owns its platform, templates, software, systems, methods, and reusable components. The client receives a limited, non-transferable right to use the subscribed service while the account is active.

The client authorizes Millennium to host, format, display, process, and back up client content only as reasonably needed to provide, protect, and improve the contracted service.

9. Maintenance and support

Managed Essentials includes standard support with a target initial response within three business days. Managed Growth has a target initial response within two business days. Targets are not guaranteed resolution times and exclude provider outages, emergencies outside Millennium’s control, and separately scoped work.

Millennium may perform security, reliability, and compatibility maintenance. When practical, planned work that materially interrupts an active client service will be scheduled to reduce business impact.

10. Warranties and AI-assisted output

Millennium will provide the service with commercially reasonable care. Except for that express commitment and any non-waivable law, the service is provided “as available” without implied warranties. Millennium does not guarantee search ranking, leads, sales, appointment volume, advertising performance, or uninterrupted provider availability.

AI-assisted or automated output can be incomplete. It must remain grounded in client-approved information, use defined refusal and handoff behavior, and must not be treated as professional advice or a final business commitment.

11. Liability and indemnity

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, or consequential damages, or lost profits, goodwill, or revenue. Millennium’s aggregate liability arising from the service will not exceed the fees the client paid to Millennium during the six months before the event giving rise to the claim.

The client will defend and indemnify Millennium against third-party claims arising from client-supplied content, unlawful products or claims, the client’s violation of law, or the client’s breach of this agreement. Millennium remains responsible for claims caused by its own willful misconduct, fraud, or obligations that cannot legally be limited.

12. Termination and transition

Either party may end month-to-month service before the next renewal. A material breach may be terminated after written notice and a reasonable cure opportunity when cure is possible. Serious security abuse, unlawful use, or danger to others may require immediate restriction.

The client may request an available content or data export before termination or during the 60-day recovery period. Domain transfer, provider transfer, custom migration, or substantial transition assistance may require a separate written scope.

13. Final legal details

The legal contracting entity is Millennium Innovation FL LLC. Unless the Order Form says otherwise, Florida law governs and any permitted court proceeding must be brought in a state or federal court serving the Florida county of Millennium’s principal office. The Order Form supplies the verified notice contacts and any industry-specific addendum. The parties may agree to electronic signatures and counterparts, each treated as an original.
